Plain-Language Summary

In Uttar Pradesh, Apartment Owners Associations (AOAs) are registered with the Office of the Deputy Registrar of Firms, Societies and Chits (under the Societies Registration Act, 1860 read with Section 14 of the UP Apartment Act, 2010). Builders frequently try to stall registration by refusing to sign joint applications, withholding the Deed of Declaration, or filing frivolous objections claiming the project is "still under construction." Knowing the exact dossier and legal precedents ensures smooth registration.

1. Who Does This Guide Apply To?

  • Founding committees filing AOA registration applications on the UP Firms, Societies & Chits portal (fsc.up.gov.in).
  • Societies facing builder objections or competing/puppet society applications before the Deputy Registrar.
  • Registered AOAs filing annual list of Governing Body members under Section 4 of the Act.

2. Required Dossier & Common Builder Objections Answered

Core Documents Required for Registration Filing

Mandatory Dossier

1) Memorandum of Association (MOA) with names, addresses, occupations, and signatures of at least 7 founding apartment owners; 2) Adopted UP Model Bye-laws certified by office bearers; 3) Certified copy of 14-day GBM Notice and GBM Attendance + Minutes; 4) Sub-lease deed / registry copies + ID proofs of founding members; 5) Affidavit of non-relationship and office address proof.

Builder Claim: "Project Is Incomplete / Phase II Is Under Construction"

Objection Defense #1

Legal Reply: The Allahabad High Court has repeatedly held that once part Occupancy Certificate (OC) / Completion Certificate is issued or 33% of flats are occupied, the builder cannot use ongoing construction of remaining towers to deny existing residents their statutory right to form an AOA under Section 14(2).

Builder Claim: "Promoter Did Not Convene or Sign the Application"

Objection Defense #2

Legal Reply: While Section 14 places the primary duty on the promoter to facilitate registration, a promoter cannot take advantage of its own statutory default. Attach copies of notices sent to the builder proving that residents invited the builder to fulfill its duty before convening the GBM.

Annual List of Board Members & Renewal of Registration

Section 4 Annual Filing

After registration, the AOA must file the annual list of elected office bearers and audited balance sheet every year under Section 4 of the Societies Registration Act, and renew the certificate every 5 years under Section 3A.

3. Step-by-Step Filing Procedure Before the Deputy Registrar

1
Prepare & Notarize the Registration File Compile the MOA, adopted UP Model Bye-laws, GBM attendance sheets, photographs of the GBM, registry copies of office bearers, and DoD/OC copies obtained via RTI.
2
Submit Online on fsc.up.gov.in & Deposit Physical File Upload all PDFs on the official UP Firms, Societies and Chits portal, pay the statutory government fee online, and submit the physical certified binder at the jurisdictional Deputy Registrar office (Meerut region for GBN).
3
Track Notices & File Written Rejoinder to Objections If the Deputy Registrar issues a notice to the promoter or if objections are filed, submit a parawise written rejoinder citing Section 14 of UP Apartment Act 2010 and attach proof of majority apartment owner support.
